These Terms of Service (“Terms”) govern your use of the Sole Premise website, products, and services. By accessing our website or purchasing from us, you agree to be bound by these Terms.

This website is operated by Sole Premise LLC (“Sole Premise,” “we,” “us,” or “our”).

1. ELIGIBILITY

By using this site, you represent that:

• You are at least 18 years old, or
• You are using the site under supervision of a legal guardian.

You may not use our products or services for any unlawful purpose.

2. PRODUCTS & SERVICES

Sole Premise sells travel bags, luggage, accessories, and related goods.

We reserve the right to:

• Discontinue products
• Restrict sales by region or customer
• Refuse suspicious or reseller orders

All product descriptions and pricing are subject to change without notice.

3. PRE-ORDERS

From time to time, Sole Premise may offer products on a pre-order basis.

By placing a pre-order, you acknowledge:

• The product is not yet in stock
• Estimated ship dates are projections, not guarantees
• Manufacturing or freight delays may occur
• Orders ship once inventory arrives

Pre-orders may not be cancelable once production begins.

4. TEAM / BULK / CUSTOM ORDERS

Orders placed for:

• Universities
• Athletic programs
• Corporate partners
• Teams
• Bulk purchasers

may be governed by separate agreements.

Unless otherwise stated:

• Deposits are non-refundable
• Production begins after approval
• Lead times vary by quantity and customization

5. MONOGRAM / CUSTOMIZATION

Customized products, including monogramming, logos, or team branding:

• Are final sale
• Cannot be returned or exchanged
• Cannot be canceled once production begins

Customers are responsible for spelling, logo approvals, and artwork accuracy.

6. SHIPPING & RISK OF LOSS

All orders ship via third-party carriers.

Risk of loss transfers to the customer upon delivery to the carrier.

Sole Premise is not liable for:

• Carrier delays
• Lost or stolen packages
• Customs delays
• Delivery errors due to incorrect addresses

Shipping timelines are estimates, not guarantees.

7. RETURNS & EXCHANGES

All returns are governed by our separate Return & Exchange Policy.

We reserve the right to refuse returns that:

• Show wear or damage
• Are missing packaging
• Are customized or final sale

8. INTELLECTUAL PROPERTY

All content on this site — including:

• Logos
• Product designs
• Photography
• Patents
• Graphics
• Copywriting

— is the property of Sole Premise and protected by trademark, copyright, and patent law.

Unauthorized reproduction, resale, or distribution is prohibited.

9. PROHIBITED USES

You may not:

• Commit fraud
• Resell without authorization
• Scrape product images
• Interfere with site security
• Upload malicious code

Violations may result in account termination and legal action.

10. DISCLAIMER OF WARRANTIES

We disclaim all implied warranties, including:

11. LIMITATION OF LIABILITY

Sole Premise shall not be liable for:

• Travel losses
• Airline damage
• Consequential damages

Our total liability shall not exceed the amount paid for the product in dispute.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Sole Premise from any claims arising from:

• Your misuse of products
• Fraudulent transactions
• Violation of these Terms

13. GOVERNING LAW

These Terms shall be governed by the laws of the State of Florida.

Any disputes shall be resolved exclusively in courts located in Orange County, Florida unless subject to arbitration below.

14. ARBITRATION & CLASS ACTION WAIVER

15. CHANGES TO TERMS

We may update these Terms at any time. Continued use of the site constitutes acceptance.

SOLE PREMISE WARRANTY POLICY

Sole Premise stands behind the craftsmanship of our products. This Limited Warranty covers manufacturing defects under normal use.

1. WARRANTY COVERAGE

We warrant that our bags and luggage will be free from manufacturing defects in:

• Stitching
• Zippers
• Structural seams
• Hardware
• Wheels / handles (if applicable)

Coverage applies for 1 year from delivery date unless otherwise stated.

2. NOT COVERED

This warranty does NOT cover:

• Airline or transit damage
• Cosmetic scratches
• Fabric wear
• Interior stains
• Odors
• Water damage
• Improper packing
• Overloading
• Normal wear & tear

Damage from baggage handlers must be filed with the airline.

3. REPAIR / REPLACEMENT REMEDY

If a defect is verified, we may:

• Repair the item, or
• Replace the item, or
• Issue store credit

We are not obligated to provide refunds.

4. CLAIM PROCESS

To submit a claim:

• Proof of purchase
• Photos of defect
• Description of issue

We may require product return for inspection.

5. SHIPPING COSTS

Customers are responsible for inbound warranty shipping unless otherwise approved.

6. LIMITATION

This warranty is non-transferable and applies only to the original purchaser.
